Terms & conditions
Terms of use for BTRT Digital services.
1. Identification
BTRT srl (trading as BTRT Digital), a company registered in Belgium under VAT number BE1013.307.134, with registered office at Buret 70A, 6662 Houffalize, Belgium.
Email: hello@btrt.be · Phone: +32 486 536 487
2. Purpose
These general terms and conditions govern the contractual relationship between BTRT Digital and its clients for all digital services it provides, including but not limited to the design and development of websites and webshops, custom applications and software, and automation and AI solutions. They apply to all quotes, orders and services and prevail over any terms of the client, unless otherwise agreed in writing.
3. Quotes and orders
Every order is subject to a detailed quote accepted beforehand by the client. Accepting the quote constitutes agreement on the scope, timeline, and price. Any change in scope during the project is subject to an amendment.
4. Pricing and invoicing
Prices are stated in euros excluding VAT, unless otherwise indicated. Applicable VAT is the rate in force at the time of invoicing.
Unless the quote provides otherwise, invoicing follows this schedule:
- Websites and webshops: a 40% deposit upon acceptance of the quote, and the balance of 60% upon delivery.
- Custom applications, software and automation projects: a 40% deposit upon acceptance of the quote, 30% upon presentation of the first working version (demo or test round), and the balance of 30% upon delivery.
Work starts upon receipt of the deposit. Invoices are payable by bank transfer within 7 days of their issue date. Any dispute regarding an invoice must be made by registered letter within 8 days of the invoice date.
Any amount unpaid on the due date automatically bears contractual interest of 3% per month, without prior notice, with any month begun counting as a full month. A client who does not pay an overdue invoice within 8 days of a reminder also automatically owes, in addition to this interest, a fixed compensation of 20% of the amount due, with a minimum of 50 euros.
For clients acting as consumers, only the statutory provisions on the recovery of consumer debts apply.
5. Delivery times
Timelines given in the quote are indicative. They depend on the client's timely cooperation (providing content, validations within agreed deadlines). BTRT Digital cannot be held liable for delays attributable to the client or third parties.
6. Intellectual property
Unless explicitly agreed otherwise in writing, BTRT Digital retains ownership of the source code, reusable components, and frameworks it develops and uses across its various projects ("background IP"). The client receives a permanent, non-exclusive license to use the delivered website, application, or software freely for their business.
The elements developed specifically for the client - custom design, project-specific features, unique business logic ("project IP") - are transferred to the client after full payment for the services, allowing them to continue development with another provider if needed.
For custom software or projects requiring a full transfer of all rights, this can be explicitly agreed in writing under specific conditions.
Content provided by the client (text, logos, images) remains 100% their property.
BTRT Digital retains the right to reference the work for commercial purposes, unless the client expressly objects.
Third-party tools, frameworks, and components used remain subject to their respective licenses.
7. Liability
BTRT Digital undertakes to provide the care and diligence necessary for carrying out the services. BTRT Digital's liability is limited to the total amount invoiced for the project concerned. BTRT Digital cannot be held liable for indirect or consequential damages.
8. Confidentiality
Both parties agree to keep confidential any information exchanged in the course of the project. This obligation survives the end of the contractual relationship.
9. Termination
If the client terminates the project, services performed up to the termination date remain payable. 15 days' notice is required by registered letter or email with acknowledgment of receipt.
10. Governing law - Disputes
These terms are governed by Belgian law. In the event of a dispute, the parties agree to seek an amicable solution before any legal action. Failing that, the courts of the judicial district of Liège shall have sole jurisdiction.
These terms are available in French, Dutch and English. In case of discrepancy between the language versions, the French version prevails.
